The Association of Investment Companies has revised the current versions of the Code of Corporate Governance and the Corporate Governance Guide for Investment Companies.
The intention behind the revision to the Code, together with the Guide, is to reflect the implementation of the UK Corporate Governance Code (“UK Code“). The UK Code was introduced to replace the Combined Code on Corporate Governance for financial years beginning on or after 29 June 2010, the new UK Stewardship Code (published in July 2010) and changes to the structure of the UK listing regime.
It is intended that the AIC code will introduce a framework of best practice relating to the governance of investment companies. The development of the AIC code has arisen as a consequence of the characteristics of investment companies being (1) customers and shareholders of investment companies are the same; and (2) investment companies typically have no employees.
The AIC guide brings together in a single document those requirements and recommendations from the UK Corporate Governance Code, the AIC Code of Corporate Governance and the Listing Rules which are relevant to investment companies.
